nest miles Terms of Service

Last updated: August 15, 2026

This document is a template and has not been reviewed by an attorney. It should be reviewed by qualified legal counsel — including counsel licensed in California and any state where listed properties are located — before nest miles is made publicly available. Two sections in particular need attorney attention before launch. Section 2 (No Brokerage Relationship) is drafted to reflect nest miles' intended positioning as a technology platform rather than a real estate broker, and should be verified against real estate brokerage licensing law in every state where nest miles operates. Section 3A (What Verification Means) scopes the representations nest miles makes when it displays a Guest's license or a Host's identity as confirmed; because the Service shows that status to the other party and they may rely on it, the wording of that section should be reviewed against consumer-protection and misrepresentation standards.

1. Who We Are

nest miles is operated by mA.I Limited Liability Co. ("nest miles," "we," "us"). nest miles provides a technology platform (the "Service") that traveling healthcare professionals and other assignment-based workers ("Guests") and property owners ("Hosts") use to find one another, communicate, and independently arrange short-term housing rentals. nest miles is not a party to, and does not guarantee, any lease agreement entered into between a Host and a Guest.

2. No Brokerage Relationship; Independent Parties

nest miles does not represent Host or Guest in connection with any rental transaction. nest miles is not a real estate broker, agent, property manager, or landlord, and nothing in these Terms or in nest miles' conduct should be understood to create such a relationship. nest miles provides technology — including listing publication, search and matching tools, in-app messaging, scheduling and communication tools, and, where enabled, payment processing technology — that allows Hosts and Guests to identify and communicate with one another and to transact directly.

Host (independently and exclusively)nest miles (technology platform only)
  • Sets rental rates
  • Sets availability
  • Establishes eligibility criteria and approves or declines any Guest
  • Negotiates rental terms
  • Enters into and signs the rental agreement
  • Receives rent and other payments from the Guest
  • Publishes the listing
  • Provides search and matching technology
  • Provides in-app messaging technology
  • Provides scheduling and communication tools
  • Where enabled, provides payment processing technology
  • Charges Host a fee for use of the platform (Section 6)

nest miles does not participate in, control, or have authority over any decision listed in the left column above. Hosts independently determine rental rates, eligibility criteria, and rental terms, and independently enter into rental agreements with Guests. The Contract Execution Fee described in Section 6 is compensation for a Host's use of nest miles' technology platform in connection with a completed rental transaction — it is not a commission, brokerage fee, or compensation for procuring, negotiating, or representing either party.

3. Eligibility and Verification Requirements

You must be at least 18 years old and able to form a binding contract to use the Service. Hosts must have the legal right to lease the property they list. By creating an account, you represent that the information you provide is accurate and that you meet these requirements.

Anyone may create an account and browse listings. Transacting through the Service additionally requires the following, which are enforced by the Service:

ActionRequirement
Publishing a listingHost's identity confirmed
Proposing a leaseHost's identity confirmed and email address confirmed
Signing a leaseGuest's professional license confirmed and email address confirmed; Host's identity confirmed and email address confirmed

3A. What Verification Means — and What It Does Not

Because the Service displays verification status to the other party, it is important to be precise about what nest miles is and is not saying.

Professional license (Guests). nest miles transmits the license number, license state, and name a Guest provides to an independent verification service, which checks them against the issuing state board's records. When the Service shows that a license is "confirmed against state board records," it means that check returned an active license matching that Guest, at the time the check was performed. nest miles does not itself verify, adjudicate, or approve any license, and no nest miles employee reviews or decides license status.

Identity (Hosts). Identity is confirmed by Stripe Identity, which examines a government-issued identity document supplied by the Host. nest miles does not receive or review that document and stores only the outcome.

What this does not mean. Verification confirms a credential or document at a point in time. It is not a background check, a criminal-history check, a credit check, or an assessment of any person's character, competence, financial position, or fitness as a landlord or tenant. It does not guarantee that a license remains valid, that a person will perform their obligations under a lease, or that a property is as described. nest miles does not warrant the accuracy of information provided by a state board, Stripe, or any other third-party source, and does not guarantee the conduct of any Host or Guest. Each party remains responsible for exercising their own judgment before entering into a lease.

Where verification is unavailable. The license verification service does not cover every state licensing board. Where a Guest's license state is not covered, or a check cannot be completed, that Guest cannot sign a lease through the Service. This is a limitation of the verification service and is not a statement that the Guest's license is invalid.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

5. Listings and Bookings

Hosts are solely responsible for the accuracy of their listings, including property condition, availability, and pricing, and for independently setting and enforcing any eligibility criteria for prospective Guests. Only Hosts whose identity has been confirmed may publish a listing (Section 3). All listings are additionally subject to nest miles' review before appearing in search results; this review is a use-of-platform check (e.g. completeness, policy compliance) and is not an endorsement, inspection, or guarantee of the property — nest miles does not visit, inspect, or independently confirm the existence or condition of any property. Guests are responsible for reviewing listing details and lease terms before signing.

6. Fees

nest miles charges a single fee — the Contract Execution Fee — equal to 2% of the total contract value of a lease, charged to the Host only, and only when a lease is actually executed (signed by both parties). The Contract Execution Fee is consideration for the Host's use of nest miles' technology platform (listing, search and matching, messaging, scheduling, and — where enabled — payment technology) in connection with a completed rental transaction. It is not a real estate commission or brokerage fee, and nest miles does not act as an agent for, or represent the interests of, either party in setting or negotiating rental terms. Guests pay no fee to nest miles. There is no subscription, membership, or recurring fee of any kind; searching, listing, and messaging are free. Fees are disclosed in full before a lease is signed.

7. Communication and Platform Circumvention

To keep the Service safe, transparent, and functioning as intended for all users, you agree not to share personal contact information (phone number, email, social media handles) through in-app messaging before a lease is signed, and not to use the Service to arrange a booking with the intent of circumventing nest miles and completing the transaction off-platform. nest miles uses automated screening to enforce this — see our Privacy Policy for details. Once a lease is signed, this restriction no longer applies.

8. Lease Agreements and Legal Relationship

A lease executed through the Service is a legal agreement directly and exclusively between the Host and the Guest, on terms they independently negotiate and agree to. Consistent with Section 2, nest miles is not a landlord, property manager, real estate broker, or party to the lease, is not responsible for either party's performance of their obligations under it, and — subject to the limited meaning of verification described in Section 3A — makes no representation as to the suitability of either party or the property. Hosts and Guests are solely responsible for complying with applicable landlord-tenant law in the jurisdiction where the property is located.

When both parties have signed, nest miles emails each of them a PDF record of the agreement, containing both parties' names and email addresses, the property address, the agreed terms, and the time each signature was recorded. This copy is provided for your records; it does not make nest miles a party to the agreement.

9. Reviews

Guests may leave a review after a completed stay. Reviews must be honest and based on the reviewer's own experience. nest miles may remove reviews that violate this policy or applicable law.

10. Prohibited Conduct

11. Termination

We may suspend or terminate your account for violation of these Terms. You may stop using the Service and delete your account at any time from the Account tab in the app. Where you have past lease history, deletion erases your personal information but retains the record of the executed lease — see Section 8 of our Privacy Policy for exactly what is kept and why.

12. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. nest miles does not guarantee the accuracy of listings, the conduct of any Host or Guest, or the outcome of any lease negotiation. nest miles does not verify property condition or legal compliance of any listing.

13. Limitation of Liability

To the maximum extent permitted by law, nest miles and its officers, employees, and agents will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service or any lease entered into through it. nest miles' total liability for any claim relating to the Service will not exceed the greater of $100 or the fees you paid to nest miles in the twelve months before the claim arose.

14. Dispute Resolution

[Insert governing law, arbitration clause, and venue once legal entity and state of formation are finalized — this section requires attorney drafting.]

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
